    Default Buy-Sell agreements, majority vs minority interest shares

    In a situation where there is a majority and minority partner of an S-corporation, say 75-25, within a buy-sell agreement are ownership shares for the minority partner typically discounted in event of the sale of the minority partner's shares? Whether those shares are sold to the majority partner or a 3rd party? We are trying to determine if the discounting of minority shares in event of sales is typical, how prevalent it this within buy-sell agreements? Whereas the discounting does not apply to the majority interest party?

    Typically, when one partner buys out another it is based on some predetermined formula or negotiated at the time. When you say discounted, the question is, discounted from what? Discounted from a 3rd party evaluation perhaps? That may make sense if that is part of a predetermined agreement.
    I'm not sure why it would relate only to the minority and not the majority owner.

    To a third party it would be negotiated.
